Agreement to Terms

These Terms of Service ("Terms") govern your use of Sketch & Spark's website and services. By accessing our website or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

Service Scope & Legal Boundaries

• All services rendered are creative and consultative in nature, and Sketch and Spark shall not be held liable for business outcomes such as revenue loss, engagement decline, or campaign underperformance.
• The client agrees that under no circumstances shall Sketch and Spark, or its employees, be personally or professionally liable for any indirect, incidental, or consequential damages arising from any service
• All services are executed with professional diligence and industry standards; however, the client acknowledges that results (especially in digital marketing and SEO) may vary due to algorithm changes and market dynamics.
• In case of disputes, both parties agree to amicable resolution first, and if needed, legal jurisdiction will fall under Kolkata, West Bengal, India only.

Payment Terms

• Monthly Payments must be made by the 10th of every month to avoid service interruption.
• A minimum 3-month contract commitment is required for all monthly services unless agreed otherwise in writing.
• One-month advance payment is mandatory at the start of the contract.
• Late payments will incur a ₹500/week penalty, and repeated defaults may lead to permanent suspension of services.
• No refunds will be issued once the service month has commenced.

Inclusions & Exclusions

Not Included in Any Package:

• Ad campaign budgets (Meta, Google, etc.)
• Website domain and hosting purchases.
• Physical props, studio rent, or travel/accommodation costs.
• Paid collaborations, influencer/celebrity charges.

Included:

• All planning, content, creatives, copywriting, editing, web development (as per selected package)
• Client consultation and brand strategy.
• File backup, project tracking, performance reports (where applicable).

Revision Policy

• Each deliverable (social post, reel, graphic, etc.) includes 2 rounds of free revisions.
• Further revisions will be charged based on scope and estimated hours.
• All revision requests must be communicated in writing (email/WhatsApp) within 3 working days of delivery.

Intellectual Property Rights

• Clients must share all necessary data, images, brand details, and logins within the scheduled timeline.
• Delay in approvals or feedback beyond 72 hours may affect delivery and reschedule workflows.
• Clients must not demand personal or direct contact with any team member without management involvement.

Ownership, Copyright & Confidentiality

• All final creatives, websites, and media delivered belong to the client only after full payment is received.
• Sketch and Spark retains the right to showcase the final work (not confidential business data) in our portfolio unless client requests otherwise.
• All raw footage, project files, and editable files remain the intellectual property of Sketch and Spark, unless agreed otherwise.
• All business ideas, marketing strategies, internal processes, and backend data shared between both parties shall remain strictly confidential.

Legal Safeguards

• Clients acknowledge that any form of misbehavior, threats, defamation, or non-cooperation will result in immediate termination of the contract with no refund.
• No legal or civil suit shall be initiated against individual team members, freelancers, or contractors working under Sketch and Spark.
• Any issues regarding quality, delays, or communication must be directed only to the management for resolution.
• In case of a dispute, both parties agree to final binding resolution by arbitration, prior to any legal action.
• Sketch and Spark, its founders, employees, and contractors are indemnified against any legal liabilities, penalties, or damages arising from client-side misuse of deliverables.

Communication & Support

• Working hours: Monday to Saturday, 10 AM – 7 PM IST
• All communication will be logged via WhatsApp or Email for transparency.
• Emergency support is available for ongoing campaigns at management's discretion.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
